1. Acceptance. By creating an account, signing in, or using the Portal, you agree to these Terms of Service, the Privacy Policy, and the Acceptable Use Policy (“Portal Policies”), each incorporated by reference. If you do not agree, do not use the Portal.
2. Eligibility & accounts. The Portal is for current and prospective members of Hatch Kitchen RVA, LLC, a Virginia limited liability company, Hatch Logistics, LLC, a Virginia limited liability company, and HatchSpace, LLC, a Virginia limited liability company (collectively, “Hatch”) and their authorized representatives. You must provide accurate information, keep your account and email secure, and are responsible for all activity under your account. You may not share your login. Notify us immediately at info@hatchrichmond.com of any suspected unauthorized access.
3. Membership & services. The Portal provides account management, document storage, scheduling, communications, and onboarding tools. The Portal Policies govern the use of the Portal and do not amend, replace, supplement, or modify your Membership/License Agreement. In the event of any conflict with the terms of the Portal Policies, the Membership/License Agreement shall control.
4. Your content and documents. You retain ownership of documents and information you upload. You grant Hatch a limited license to store, process, and use them to provide the services, administer your membership, and comply with applicable laws and regulations. You represent that you have the right to provide everything you upload and that it is accurate.
5. Acceptable use. You agree to the Acceptable Use Policy. We may suspend or terminate access for violations, for non-payment, or to protect the Portal, other members, or the public.
6. Third-party services. The Portal integrates with third-party services (including our property-management system and email provider). Hatch is not responsible for the availability, acts, or omissions of third parties, or problems arising from other events outside of Hatch’s reasonable control.
7. No professional advice. Business, legal, tax, food-safety, and permitting resources in the Portal are provided for convenience and are not professional advice. You are solely responsible for obtaining and maintaining all licenses, permits, and insurance required for your business.
8. Service provided "AS IS." THE PORTAL IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, THAT NOTIFICATIONS OR REMINDERS WILL BE DELIVERED, OR THAT DATA WILL NOT BE LOST.
9. Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HATCH AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PORTAL. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE MEMBERSHIP FEES YOU PAID TO US IN THE 2 MONTHS BEFORE THE CLAIM.
10. Indemnification. You agree to indemnify and hold harmless Hatch from claims arising out of your content, your business operations, your violation of these Terms, or your violation of law or the rights of others.
11. Termination. Upon termination of the Membership/License Agreement, we will handle your data as described in the Privacy Policy and Data Retention Policy.
12. Changes. We may update these Terms from time to time in our sole discretion; material changes will be posted with a new effective date and, where appropriate, require your re-acceptance. Continued use after changes constitutes your acceptance.
13. Governing law & disputes. These Terms are governed by the laws of the Commonwealth of Virginia. Any conflict arising hereunder shall be resolved in the courts of the City of Richmond, Virginia.

15. No waiver. Hatch’s failure to enforce any provision under the Portal Policies shall not constitute a waiver.
